1. Scope

These Terms of Service apply to the relationship between AddressDesk ("we", "us", and "our") and anyone accessing or using our website or services ("you" or "customer").

Our services are intended primarily for developers, businesses, online shops, and other organisations integrating address functionality into digital products. Consumer users retain all mandatory rights applicable to their contracts.

By using a service, creating an account, or placing an order, you agree to the terms applicable to that service. Before entering into a paid contract, we will provide the information required by applicable law.

If a separate written agreement, order form, or data processing agreement applies to a particular service, it supplements these terms. Where applicable documents conflict, mandatory law prevails and the specific agreement governs the subject it expressly addresses.

2. The service

We provide address-related software and API functionality, including:

  • Address autocomplete and address search suggestions.
  • Address validation and related address-data functionality.
  • A JavaScript SDK for integration into existing form fields.
  • An embeddable address form for supported applications.
  • Account, API credential, and subscription management features.

AddressDesk currently advertises support for address searches across supported countries in the European Union, the United States, and Canada. Coverage varies by country, address type, source data, and technical availability. Current coverage information on our website and documentation describes the intended supported regions but does not guarantee that every address can be found or validated.

Search suggestions and validation results are informational outputs generated using available address data. A match does not guarantee that an address exists, is current, is deliverable, belongs to a particular person, or is suitable for every legal or commercial purpose.

You remain responsible for verifying address information where accuracy is important, including shipping, identity verification, compliance checks, financial transactions, and other consequential decisions.

Unless expressly agreed otherwise, we do not provide postal delivery, guarantee delivery outcomes, independently verify a person's identity, or guarantee the completeness of external address data.

3. Accounts and API credentials

Certain features require an account. You must provide accurate registration information, keep it reasonably up to date, and use account features only where you are authorised to do so.

You are responsible for protecting your login credentials and controlling access to your account. Notify us promptly if you suspect that an account has been compromised or used without authorisation.

API keys and other credentials must be used according to the documentation and the restrictions applicable to the relevant credential type. Do not publish secret credentials in public repositories, share them with unauthorised persons, or allow them to be used by unrelated accounts.

You are responsible for activity carried out using your credentials, except to the extent that applicable law or the circumstances make that responsibility impermissible.

We may ask you to rotate compromised credentials, verify account ownership, or take reasonable protective measures if necessary to secure the service.

4. Licence and permitted use

Subject to these terms and your active subscription where required, we grant you a limited, non-exclusive, non-transferable licence to use the supplied SDK, documentation, and service interfaces for your own authorised applications during the applicable subscription period.

You may integrate the SDK into your products and use the service for the purposes supported by your plan. This licence does not transfer ownership of the software, API, service infrastructure, documentation, or underlying intellectual property.

You must not, except to the extent expressly permitted by law:

  • Use the service for unlawful purposes or to violate third-party rights.
  • Attempt unauthorised access to systems, accounts, or data.
  • Interfere with the service, its security, or the availability of other customers' access.
  • Bypass authentication, applicable plan restrictions, or legitimate security controls.
  • Resell or provide standalone access to AddressDesk in a way that is not authorised by your licence.
  • Copy, modify, or redistribute proprietary components except as permitted by the applicable licence or mandatory law.
  • Use address results or customer data for purposes that lack a lawful basis.

Nothing in these terms restricts rights that cannot lawfully be excluded, including mandatory software interoperability or other statutory rights where applicable.

5. Customer responsibilities

When integrating AddressDesk into a website, checkout, application, or commercial workflow, you are responsible for:

  • Implementing the SDK according to the current documentation.
  • Maintaining the security of your systems and credentials.
  • Providing accurate information to your own users about your processing of personal data.
  • Establishing the legal basis for personal data processed through your integration.
  • Using address data in accordance with applicable data protection, consumer, and other legal requirements.
  • Reviewing returned results before relying on them for consequential decisions.
  • Maintaining a lawful and accessible experience in your own application.

Where we process personal data on your behalf as a processor, the parties must enter into a separate data processing agreement where required by Article 28 GDPR. These terms alone do not replace that agreement.

You must not submit sensitive personal information or unrelated personal information through address fields unless the service, your legal basis, and the applicable agreement expressly support that processing.

6. Plans, prices, and trials

AddressDesk currently advertises the following pricing options:

Free trial

3 days

Free

Monthly plan

Monthly billing period

€19 / month

Yearly plan

Annual billing period

€190 / year

Our website advertises unlimited API requests with the relevant paid plans. Any fair-use restrictions, protective throttling, or other material usage limitations must be disclosed clearly before purchase and must be consistent with the advertised offer.

The order summary will identify the selected plan, applicable price, billing period, and any taxes or additional charges. The checkout must state clearly whether displayed prices include VAT and how any applicable VAT or other taxes are calculated.

A free trial lasts for three days where that trial is offered and confirmed during registration or checkout. Before you agree to a trial that may convert to a paid subscription, the checkout must clearly explain whether conversion is automatic, which plan and price will apply, when the first payment will be taken, whether payment information is required, and how to cancel before conversion.

The actual trial and billing flow must match those disclosures. No automatic paid conversion or payment obligation should be inferred solely from the existence of a free-trial price label.

7. Payment and renewal

Paid subscriptions are subject to the order summary and the billing terms presented before purchase. The selected billing period, applicable amount, payment method, and renewal arrangements must be clearly disclosed before you submit a paid order.

Where the selected plan is a recurring subscription and automatic renewal is disclosed at checkout, the subscription renews for the stated billing period unless cancelled in accordance with the applicable cancellation terms. The renewal date and amount must remain accessible to the customer.

If VAT or other taxes apply, these will be shown in the order flow in accordance with applicable law. You are responsible for providing accurate billing and tax information.

Payments must be made through the payment methods accepted and identified during checkout. A third-party payment provider may apply its own terms and privacy information to the payment transaction.

If a payment fails, we may notify you and ask you to update your payment information. Any suspension or termination for non-payment will be subject to applicable law, the relevant contract, and reasonable notice where required.

If you believe a charge is incorrect, contact us with the account and transaction information needed to investigate it. This does not limit any mandatory consumer rights.

8. Cancellation and termination

8.1 Customer cancellation

You may cancel a recurring subscription in accordance with the cancellation process and deadline disclosed when you purchased the plan. Where a subscription renews automatically, cancellation ordinarily prevents the next renewal and takes effect at the end of the current paid period, unless applicable law or your order provides otherwise.

The online account or billing interface should make your subscription status, next billing date, and cancellation options accessible. Where German law requires a statutory online cancellation button, that feature must be provided in the manner required by law.

You may also contact us at addressdesk@gmail.com regarding your subscription. Contacting support does not replace a statutory cancellation button where one is legally required.

8.2 Termination by AddressDesk

We may suspend access or terminate a subscription where reasonably necessary because of a serious security risk, material breach of these terms, unlawful use, or non-payment, subject to applicable law, any required notice, and the circumstances of the case.

Where a problem can reasonably be remedied, we will normally provide an opportunity to resolve it before taking proportionate action, except where immediate action is necessary to protect systems, customers, or legal rights.

Either party may terminate a contract where permitted by law for good cause. Consumer statutory termination rights remain unaffected.

8.3 Effect of termination

When a subscription ends, the associated paid access and licence end to the extent specified by the applicable plan and law. Contractual payment obligations accrued before termination remain payable unless otherwise required by law.

Termination does not remove statutory rights concerning refunds, withdrawal, defective digital services, data access, or data protection.

9. Consumer withdrawal rights

If you are a consumer and enter into a distance contract for which statutory withdrawal rights apply, you generally have the right to withdraw within 14 days without giving a reason. This section does not limit any longer or additional rights provided by law.

9.1 Exercising the right of withdrawal

To exercise your right of withdrawal, inform AddressDesk of your decision through a clear statement, for example by email. You may use the model withdrawal form below, but you are not required to do so. It is sufficient to send the statement before the withdrawal period expires.

Recipient: AddressDesk

Email: addressdesk@gmail.com

9.2 Effects of withdrawal

If you validly withdraw from a contract, the legal consequences and any required refund will be determined by applicable consumer law. Where you expressly request that a paid digital service begins during the withdrawal period, you may be required to pay a proportionate amount for services already supplied if the statutory conditions are met.

Any loss of a withdrawal right because a service has started or digital content has been supplied is subject to the specific statutory requirements. A general statement in these terms does not waive those requirements.

9.3 Model withdrawal form

To: AddressDesk, addressdesk@gmail.com

I/we (*) hereby give notice that I/we (*) withdraw from my/our (*) contract for the provision of the following service:

Service or subscription: ______________________________

Ordered on / contract concluded on: ______________________________

Name of consumer(s): ______________________________

Address of consumer(s): ______________________________

Date: ______________________________

(*) Delete as appropriate.

10. Availability and changes

We aim to provide a reliable service but cannot guarantee uninterrupted availability or that every address search will return a result. Performance may depend on network conditions, external address data, maintenance, security incidents, and other factors.

We may perform maintenance, update the SDK, modify documentation, or improve the service. Where a change materially affects a paid service, we will provide notice or other remedies where required by the applicable agreement or law.

We will not use these terms as a blanket right to make arbitrary or retroactive changes that remove mandatory customer rights. Changes to existing contracts will be implemented only where permitted by law or validly agreed with the customer.

Customers are responsible for reviewing relevant SDK documentation, maintaining compatible integrations, and testing changes appropriate to their own applications.

11. Intellectual property

We and our licensors retain all rights in the service, SDK, source code, design, branding, documentation, and other proprietary materials, except for rights expressly granted to you or owned by third parties.

You retain rights in content and data that you own or are authorised to use. You grant us only the permissions reasonably necessary to process submitted data and provide the service under the applicable agreement.

Third-party software, packages, libraries, and data sources may be subject to separate licences or terms. Those terms apply where relevant and will not remove rights that cannot lawfully be restricted.

12. Data protection

Personal data is handled in accordance with our Privacy Policy and applicable data protection law.

Where we act as a processor for your customer or end-user personal data, the parties must agree on the required data processing terms before that processing begins where the law requires it.

You remain responsible for your own privacy notices, permissions, legal bases, cookie-consent requirements, and the use of results in your application. Neither the SDK nor these terms automatically makes your integration compliant with every data protection obligation.

13. Warranties and liability

13.1 Service results

Address suggestions and validation results depend on available source data and technical processing. We do not warrant that every address will be returned, that all results are complete or current, or that a result is suitable for a particular purpose unless expressly agreed in writing.

You must verify address data where a mistake could cause material loss or affect a person's rights. The service should not be the sole basis for a high-impact decision without appropriate independent checks.

13.2 Mandatory liability

Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by law. This includes liability for intent, fraudulent concealment, guarantees expressly given, injury to life, body or health, and mandatory statutory liability such as liability under applicable product liability law.

13.3 Business customers

Where legally permitted in contracts with business customers, liability for slight negligence is limited to breaches of material contractual obligations whose performance is essential to the proper performance of the contract and on whose observance the customer may ordinarily rely. In that case, liability is limited to the foreseeable damage typical for the contract.

The limitations in this section do not apply where they would be invalid under applicable law. They do not remove mandatory consumer protections or statutory rights concerning digital products.

13.4 Consumer rights

If you are a consumer, statutory rights and remedies concerning defective digital services, lack of conformity, updates, contract termination, and refunds remain unaffected. Nothing in these terms is intended to reduce rights that cannot legally be excluded.

14. Governing law and disputes

German law governs these terms, subject to mandatory provisions of consumer protection law that apply to you. Where you are a consumer habitually resident in another country and mandatory consumer rules of that country apply, this choice of law does not deprive you of the protection afforded by those rules.

Where legally permitted, disputes with business customers may be brought before the competent courts determined under applicable law and any valid agreement between the parties. This does not alter mandatory jurisdiction rules or the rights of consumers to bring proceedings in a competent court.

We encourage customers to contact us first so that we can attempt to resolve disputes directly.

Consumer dispute resolution

We will provide information about whether we are willing or obliged to participate in consumer dispute resolution proceedings where and to the extent required by applicable law.

15. Contact and changes

For questions about these terms, your subscription, or our services, contact us at addressdesk@gmail.com.

We may update these terms where appropriate, subject to applicable law and any contractual requirements. The latest version will be published on this page with its effective or revision date.

Changes to existing contracts will apply only where permitted by applicable law or validly agreed with you. Any mandatory rights remain unaffected.
